Bylaws are the rules that make up the single governing document adopted by an organization. The bylaws should define the basic characteristics of the organization and describe how the organization will operate. Adoption of the first set of bylaws requires a majority vote by the organization’s membership. Amending the bylaws usually requires prior notice to the membership and a larger majority vote (most often two-thirds).
